Start with every obligation and actual party
Inventory loans, revolving credit, leases, supplier guarantees, financed or consigned equipment, vehicle finance and other actual commitments. Record the borrower, guarantor, creditor, collateral, agreement version, governing jurisdiction and proposed transaction treatment. A lender name in the ledger is not a complete population of personal or company obligations.
Trace documents to statements, bank activity, lease schedules, supplier files and appropriate searches. The seller’s confirmation can help identify missing arrangements but is not the final release evidence. Keep account details, signatures and personal identifying information in the controlled legal file; anonymous references are enough for the public register.
Keep the required evidence items separate
| Item | Evidence question | What remains separate |
|---|---|---|
| Dated debt payoff | What amount, date, conditions and payment destination does the creditor specify? | Actual payment and acceptance. |
| Loan assumption | Has the lender accepted the actual continuing borrower and terms? | Whether the original borrower/guarantor is released. |
| Personal guarantee | What document or applicable agreement provision resolves this person’s obligation? | Debt cash and collateral filing status. |
| Collateral / UCC | Which security and filing records require authorized action? | Vehicle titles and guarantees may follow separate processes. |
| Account closure / commitment | Can further obligations arise under the account or facility? | A zero balance alone does not answer this. |
The premises guide already distinguishes tenant assignment from guarantee release. The supplier guide separates new approval, old balances and security. Consolidate those items so one workstream does not mark an issue finished merely because another party sent a payment.
Review payoff conditions before treating a figure as final
Retain the creditor’s attributable payoff document, covered obligation, valid-through date, per-diem or other reviewed terms, payment conditions and the person authorized to confirm them. Reconcile the stated amount with the financing and closing schedules. Record whether costs were already paid, withheld or included elsewhere in the price definition.
Use the transaction team’s established payment-verification process. A document delivered through a familiar email thread still requires the appropriate independent checks, especially when payment instructions change. The public worksheet must not contain bank credentials or act as a wire instruction. The expanded closing runbook links cash reconciliation to authorization and recipient evidence.
Use the right current SBA example
SBA Form 148 illustrates an unconditional guarantee in specified SBA lending programs. The current 7(a) servicing matrix separately addresses assumption, borrower/guarantor release and collateral actions, with footnotes and governing program requirements. Use the current version and the applicable loan documents with the lender and counsel. A search result for an older matrix should not determine today’s action.
These are specific covered-loan sources. They are not general rules for every landlord, supplier, conventional loan or disaster loan. Do not conclude that an ownership change automatically releases a seller, or that the same approval process applies to every obligation. Record the particular counterparty response and the authority relied upon.
Connect filings and titles to their actual scope
Illinois UCC section 9-513 addresses termination statements and the effect on the related financing statement, subject to its conditions and other provisions. It does not turn one filing into proof that every debt or personal obligation is discharged. The governing filing jurisdiction, correct parties, filing authority and actual collateral description need legal review.
Map financing-statement identifiers, vehicle titles, equipment security and other relevant records to their own evidence. A paid-in-full statement, a termination filing and a clean title can be different deliverables. Keep requested, executed, submitted, accepted and independently confirmed statuses distinct where they matter to the transaction.
A paid cash line can retain a release exception
| Original hypothetical issue | Cash evidence | Separate closing status |
|---|---|---|
| Loan payoff of $300,000 | Creditor receipt matched to approved payoff | Specified guarantee release still awaiting accepted evidence. |
| Revolving account at zero | Statement shows no drawn balance at cutoff | Open commitment and future-use rights require review. |
| Financed delivered vehicle | Payment allocated to the vehicle obligation | Correct title/release record still tracked. |
| Supplier guarantee | Buyer account approved | Seller’s actual guarantee treatment remains a separate item. |
The table is a status example, not a finding that $300,000 failed to settle a debt or that another price deduction is required. The actual documents may specify the legal effect of payment. Have counsel identify what evidence is needed for this transaction, then preserve it. Do not infer an extra liability amount from a missing checklist attachment.
Reconcile the funding once
The seller-proceeds guide explains price basis and cash released. If debt has already reduced the equity price or has already been included in another agreed funds-flow line, subtracting it again creates a false cash result. Link the payoff reference to the agreement, purchase-price definition, actual wire and release register.
A negotiated holdback, indemnity or promise by the buyer is a transaction mechanism requiring its own review. It is not interchangeable with a creditor’s release. Record who bears each remaining obligation, the operative document, any conditions and the evidence required before the issue is closed.
Keep an accepted post-close obligation file
Assign a responsible person and backup to follow filings, title records and counterparty responses through completion. Preserve exceptions carried after closing, with reviewed dates and escalation responsibility. A reminder or a request marked sent should not become the accepted completion date in the register.
The final seller-exit file should reconcile the complete obligation population, actual cash settlement and the required release evidence. The public register organizes that review. It does not draft a release, calculate a universal statutory deadline, guarantee a search result or certify that the seller has no remaining obligations.

Sources and scope
Source links support the specific topics noted. Examples and analytical frameworks are illustrative; confirm current requirements and transaction facts with the responsible advisers.
- SBA Form 148, Unconditional Guarantee
Executed guarantees create their own obligations; this specific SBA form is not every lender, lease or supplier guarantee. Use the actual documents. - Servicing and Liquidation Actions, 7(a) Lender Matrix
Separate loan assumption, borrower/guarantor release and collateral actions; read footnotes and governing SOP, not a blanket approval rule for all debt. Older Version 14 search result was deliberately rejected. - 810 ILCS 5/9-513, Termination statement
Financing-statement termination and its scope, not proof that all debt, title liens or personal guarantees are released. Actual filing authority and governing law require counsel.
