Inventory the plans and responsible parties
List health, dental, vision, disability and life coverage, retirement arrangements and other actual employee benefits. Identify the sponsor, insurer or administrator, eligible population, governing documents, renewal dates, contribution arrangements and outstanding issues. Separate company-sponsored plans from personal policies or benefits described informally by the seller.
The payroll and leave guide addresses employer cutoffs, wages and bank balances. It expressly leaves benefits for separate review. Use a common anonymous employee reference where appropriate, but keep medical details, dependent information, benefit elections and account balances in the controlled specialist file.
Map the actual transaction before choosing a path
Confirm the employer before and after closing, the proposed employment events, the plan sponsor and the transaction structure. A continuing entity, a new employer and an assumed plan can raise different questions. Do not assume that every acquisition terminates all plans or that a signed purchase agreement makes a new carrier’s coverage effective.
| Workstream | Evidence to obtain | Decision owner |
|---|---|---|
| Health coverage | Policy, employer/employee population, eligibility and effective-date response | Carrier/administrator and benefits counsel. |
| Retirement sponsorship | Plan documents, amendments, sponsor/entity records and transaction plan | Plan administrator and qualified adviser. |
| Employee deductions/contributions | Payroll withholding, remittance records, required employer contributions | Payroll, plan administrator and finance. |
| Notices and employee communication | Applicable event, approved content, sender and delivery evidence | Responsible employer/administrator with counsel. |
| Continuing cost | Employer contribution schedule, headcount assumptions and quotes | Finance and benefits adviser. |
IRS guidance describes different retirement-plan outcomes when employers combine, including a new sponsor, a plan merger or termination. It also explains that protected benefits and participant rights matter. Those alternatives are not a decision tree this website can resolve from purchase price or employee count. Have the plan specialist document the chosen path and its requirements.
Separate health continuation frameworks
DOL’s COBRA overview describes federal continuation coverage and its applicability limits. Illinois Insurance Code section 367e addresses conditional continuation under specified group policies. A small-employer label does not by itself complete either analysis. Policy form, coverage, employment event, employer facts and current law need to be reviewed together.
Record which framework the responsible adviser concludes applies, who sends each required notice, the reviewed due date and proof of delivery. Do not copy a deadline from an unrelated plan or present historical statutory relief language as a new universal rule. A coverage gap, a notice obligation and a buyer/seller funding agreement are distinct questions.
Reconcile contributions and unresolved plan items
Trace employee amounts withheld from payroll to the relevant plan or carrier records and the applicable remittance requirements. Reconcile employer contributions, unpaid invoices and any approved corrections at a common cutoff. A payroll deduction report alone does not show that the receiving plan obtained the money. A transaction workpaper should preserve differences rather than netting them into one unexplained total.
Ask the plan administrator about outstanding loans, vesting, protected benefits, missing records and other actual participant issues. IRS guidance on mergers and termination provides context; the applicable plan and professional review determine the actions. The public register should identify the issue and evidence owner without exposing participant balances or promising that a distribution or rollover is permitted.
Separate recurring employer cost from setup cash
| Original hypothetical cost case | Calculation | Treatment |
|---|---|---|
| Existing employer contribution | 20 covered people × $600 per month | $12,000 monthly baseline. |
| Reviewed continuing contribution | 20 × $750 per month | $15,000 monthly assumption. |
| Incremental recurring cost | $15,000 − $12,000 | $3,000 monthly / $36,000 annually. |
| One-time administrator/setup charge | Assumed $4,000 | Separate dated funding item. |
These are invented planning assumptions for arithmetic, not real policy prices or a statement that the coverage is equivalent. A change in headcount, eligibility, plan design, waiting period, employer contribution or renewal terms can alter the result. Use actual quotations and the continuing population before including a cost adjustment in normalized earnings.
The $4,000 setup item should not be added to annual operating cost and also deducted again as another setup requirement without identifying distinct effects. Accrued contributions, employee rights, continuing cost and transaction funding belong in separate columns. Place actual premium and setup payment dates into the dated cash plan instead of dividing an annual total into equal weeks.
Accept the records and coverage with evidence
Before the agreed transition, obtain attributed carrier/administrator responses for effective dates, accepted population, required documents and unresolved conditions. Reconcile the opening contribution and election records under the employer’s authorized process. A submitted application or vendor promise is a status, not accepted coverage. Employee communication should state reviewed facts and the appropriate contact for questions.
Use qualified people to test the first payroll deduction and the corresponding receiving record. Do not initiate unauthorized payments, enroll anyone or share private employee data as a public website test. Preserve versioned records and assign the first actual-period reconciliation to a named owner after closing.
Make benefits part of the continuing-team plan
Connect coverage timing and employee communication to the technician continuity plan and the owner transition. Retention discussions should use approved benefit facts. A general promise to keep benefits unchanged can create expectations before the carrier, plan documents and employer arrangements have been confirmed.
The completed file contains the plan inventory, employer/sponsor map, specialist conclusions, reconciled contributions, supported cost case, notice/delivery log and accepted opening records. Keep unresolved items on the closing tracker with owners and evidence. This guide organizes the review; it does not determine eligibility, calculate a legal benefit entitlement or authorize a plan merger or termination.

- Retirement topics: Employer merges with another company
Different sponsorship, merger and termination paths. Actual structure, plan documents, protected benefits, notices and contributions need qualified review; no automatic plan termination assumption. - Continuation of Health Coverage (COBRA)
Federal continuation coverage overview and applicability limits. Not a universal rule for every small employer or an M&A allocation algorithm. - 215 ILCS 5/367e, Continuation of group coverage
Conditional state group-policy continuation framework, distinct from federal COBRA. Actual policy, employer, event and facts require specialist review. Historical relief text must not be presented as a new general rule.
