Vacation, Paid Leave and Payroll Cutoff at an Illinois Closing

Reconcile leave banks, employer continuity, jurisdiction, payroll cutoff and opening balances before allocating employee-related amounts in a business sale.

An employee’s earned balance, an employer’s payment obligation and the buyer/seller allocation of that cost are different questions. Establish the actual employer, policy and work location before turning a payroll export into a closing adjustment.

Start with the employer and actual work

Record the legal employer before and after the proposed transaction, the employees involved, actual work locations, payroll provider and planned continuity or separation events. The ownership label does not by itself establish that every employee terminates, starts anew or loses an existing balance. An equity sale may leave the employer entity in place; an asset transaction requires its own review of the actual employment arrangements and applicable law.

Use anonymous person references in the review schedule and keep names, pay details and employment records in the controlled file. Identify employees who travel across municipal boundaries, work at multiple sites or are covered by agreements requiring separate review. A headquarters address alone may not answer the jurisdiction question for field staff.

Map state, county and city rules before the calculation

Illinois DOL guidance distinguishes the statewide Paid Leave for All Workers Act from local regimes. Cook County’s current comparison also identifies municipal exceptions and Chicago’s separate ordinance. Treat the comparison as a route to the appropriate authority, not a complete automatic eligibility decision. The responsible employment adviser should document the actual work, employer and policy facts and the current rule relied on.

Keep the leave banks separate

A general label such as “PTO” can conceal different policy designs. Illinois DOL’s FAQ distinguishes separate statutory paid-leave banks from vacation or general PTO treatment on separation. Its vacation guidance discusses earned vacation under the applicable policy. Read these sources together; do not convert a single introductory sentence into a rule that statutory leave can be ignored or that every unused hour must always be paid out.

For each bank, record opening hours, accrual, use, corrections and closing hours. Retain the policy version, benefit year, frontloading/accrual method and supporting payroll report. The compiled state Act also addresses particular transfer and rehire situations. Those provisions are not a universal business-acquisition reset or carryover algorithm; actual employer continuity and local coverage still matter.

Reconcile hours and dollars at one cutoff

Choose a date and time shared with the payroll and closing schedules. Identify work performed before the cutoff but paid later, leave used but not yet posted, corrections awaiting approval and any separate bonus or commission questions. A payroll system balance can lag the timekeeping system. Keep the original export and a bridge of approved changes rather than replacing the export without explanation.

Reconcile hours and dollars at one cutoff
Hypothetical review lineHours / assumed rateTreatment in this example
Vacation reviewed as payable$30 × 40 hours$1,200 on the reviewed payable schedule.
Separate paid-leave bank16 hoursRetained as a separately classified balance; no automatic cash addition.
Unposted leave use4 hoursEvidence request and bank reconciliation before deciding treatment.
Future employer costsNot specifiedSeparate supported budget; no standard burden percentage assumed.

The $1,200 is arithmetic under the stated reviewed classification, not a legal conclusion about every employee. The separate sixteen hours are not automatically another $480 payable. The appropriate rate, entitlement, payment timing, continuation and any employer payroll costs require actual policy and professional review. A dollar estimate should carry its assumptions beside it.

Separate employee rights from the purchase agreement

The buyer and seller may allocate an amount between themselves in the transaction documents. That agreement does not by itself determine or reduce the employee’s rights. Maintain separate columns for the reviewed employee treatment, responsible employer, proposed buyer/seller funding and agreement reference. A seller-funded payment, an assumed balance and a working-capital adjustment can have different mechanics.

Trace one issue through the funds flow, working-capital definition, opening ledger and payroll plan. Do not deduct the same accrued vacation once in working capital and again as a separate price reduction without identifying distinct effects. Similarly, do not treat a balance carried into the operating plan as if it were cash already paid at closing.

Test the first payroll and opening balances

Prepare acceptance tests with the authorized payroll and employment team. Confirm the employer identity, authorized records transfer, pay-period boundaries, bank opening balances, applicable policies and employee communication responsibility. Run a reconciliation using approved test or preview reports; do not initiate unauthorized wage payments or share sensitive employee details in a public calculator.

Compare the first actual payroll and leave report with the accepted opening schedule through the employer’s normal controls. Record corrections, dates, responsible people and evidence of resolution. The technician continuity guide handles roles and delivery coverage; this workstream adds the balance and cutoff evidence needed to make that transition reproducible.

Make the file reviewable

  1. Map employers, people, work locations and actual continuity events.
  2. Attach the governing policy versions and jurisdiction review.
  3. Reconcile each bank’s hours and approved corrections.
  4. Obtain the responsible adviser’s treatment for unresolved items.
  5. Allocate funding once across the agreement and financial schedules.
  6. Accept the opening payroll and leave records with evidence.

Health coverage, benefit-plan and other employment obligations need their own specialist review. Vacation guidance does not resolve those subjects. Use the closing calendar to assign the separate actions and deadlines instead of assuming a payroll export completes the whole employment transition.

  1. Illinois DOL — Paid Leave for All Workers Act FAQ
Separate statutory paid-leave banks versus vacation/general PTO, policy records and different local regimes. Do not infer a universal payout or leave reset from a business sale.
  2. Illinois DOL — Vacation FAQ
Earned vacation and separation-policy context, read alongside current paid-leave law. The broad introductory sentence is not treated as an exemption from statutory leave obligations.
  3. Illinois — Paid Leave for All Workers Act, 820 ILCS 192
Compiled text read in a browser. Section 15 addresses leave and particular transfer/rehire situations; actual employer continuity, separation, policy, local applicability and transaction allocations require review.
  4. Cook County — Paid Leave Ordinance and Regulations
Current county guidance and jurisdiction comparison include municipal exceptions. Employee work and employer facts determine coverage; the site does not calculate Chicago, Cook or state leave entitlement.
