Establish which transaction the workpaper describes
Identify the buyer, seller, tax entities, transaction structure, closing date and assets actually transferred. An asset purchase and an equity purchase do not automatically use the same reporting path. IRS Form 8594 instructions describe specified acquisitions of a group of assets constituting a trade or business, with conditions and exceptions. Have the tax advisers determine applicability rather than treating every sale as an identical form exercise.
Write down the agreement’s consideration definition, assumed liabilities and later adjustment provisions. Reconcile it to the closing statement, but do not assume cash paid to the seller equals the tax consideration or the buyer’s basis in every asset. The structure guide establishes the broader rights and obligations; this workpaper addresses the narrower asset-sale tax evidence.
Keep four measurements distinct
| Measurement | Source | Why it can differ |
|---|---|---|
| Financial-statement carrying amount | Ledger and depreciation schedules | Historical cost and accounting depreciation are not current value. |
| Seller tax basis | Tax fixed-asset and other basis records | Tax elections and depreciation can differ from book treatment. |
| Supported allocated consideration | Reviewed asset values and applicable allocation method | A negotiated number still needs evidence and proper sequencing. |
| Cash released to seller | Funds flow, payoffs and costs | Debt settlement, timing and expenses change cash without establishing each asset’s gain. |
Financial-statement purchase accounting is a separate subject from this tax allocation. Do not label a simple asset-class worksheet a complete GAAP purchase-price allocation. Retain the currency, valuation date, source document and responsible reviewer beside each figure. A net book value of zero does not establish that a vehicle has no value, and a retail catalog price does not establish the value of used or incompatible inventory.
Reconcile the assets before filling the classes
Use the delivered-asset schedules: vehicles and tools, stock, receivables if included, customer-related intangibles, trade names and other rights. Separate assets excluded by the agreement and property owned by customers or suppliers. Check that a truck on the depreciation schedule is actually delivered and that the same part is not included both as stock and as an installed job cost.
For each line, record the agreement reference, ownership evidence, supported value, proposed tax class and reviewer conclusion. A class label follows the applicable rules and facts; the website does not select it automatically. The inventory review and fleet register provide operating evidence, which should be reconciled to tax workpapers rather than treated as substitutes for them.
A hypothetical $1.2 million schedule
| Assumed included asset category | Illustrative allocated amount | Review needed |
|---|---|---|
| Inventory | $90,000 | Quantity, ownership, usable stock and applicable tax classification. |
| Equipment and vehicles | $210,000 | Delivered assets, supported value and seller basis. |
| Other section 197 intangibles | $300,000 | Actual rights, valuation support and class treatment. |
| Residual goodwill/going-concern value | $600,000 | Residual under the reviewed method, not a chosen tax-saving percentage. |
| Total | $1,200,000 | Assumes no other included asset classes in this example. |
The values are original hypothetical assumptions, not recommended percentages or appraisals. The IRS residual method uses an ordered allocation framework with fair-value constraints for relevant classes. A spreadsheet that forces goodwill to make the total agree does not establish that the underlying asset values or class order are correct. Keep unresolved assets visible and document the adviser’s treatment before finalizing the schedule.
Connect allocation to gain character and payment timing
IRS Publication 537 explains why selling a business for one price is not necessarily the sale of one asset for installment reporting. Inventory and depreciation recapture require distinct analysis, and interest is separate from sale principal. A note payable over several years does not mean every component of taxable income is deferred over those years.
Build separate columns for allocated selling amount, seller basis, selling-cost treatment, proposed gain character and timing conclusion. Let the responsible advisers calculate the tax under the actual entity, facts and current rules. The public worksheet should not multiply the whole price by a single capital-gains rate or promise that more goodwill always produces a particular benefit.
Track later consideration changes
Working-capital settlements, contingent payments, indemnity-related adjustments and other later changes can require different tax analysis. Create a dated change log showing the agreement clause, amount, reason, cash movement, proposed asset-class impact and adviser decision. The current Form 8594 instructions address supplemental reporting when consideration changes; the actual treatment and filing period need review.
Preserve the original workpaper and each approved version. Do not overwrite the closing allocation with a later total and lose the history. Reconcile buyer and seller reporting positions, agreement schedules and any explanation of differences. An amended cash statement and a tax adjustment are related records, not interchangeable evidence.
Complete the review file
- Confirm structure, entities, applicability and consideration scope.
- Reconcile delivered assets, liabilities and exclusions.
- Gather valuation and tax-basis support separately.
- Apply the reviewed class order and reconcile all totals.
- Document gain character, payment timing and form responsibilities.
- Maintain the later-change register and consistent approved versions.
Use the seller offer tool to compare separately entered cash timing. It does not perform this allocation, estimate tax or establish that one offer has a better after-tax result. Those conclusions require the completed tax workpaper and the actual professional review.
